Online Statement Agreement

Welcome to Wilmington Savings Fund Society, FSB (WSFS Bank) Business Online Banking electronic statement delivery service (“Online Statements”). Please read this Agreement carefully and save a copy for your records. In this Agreement, “we”, “us”, and “our” mean WSFS Bank. The words “you” and ‘your” mean the person(s) accessing “Online Statements”, which are an electronic form of the periodic paper statements available through our Online Banking service. At the end of this Agreement, we will ask you to accept periodic account statements in an electronic format rather than in a paper format. Before providing your consent, please read and consider the following information.

Consent

Your consent to receive Online Statements covers the periodic statements you are provided in paper in connection with your account(s) with us. Your consent also covers paper copies of disclosures that are required with your account statements, including, but not limited to regulatory required notices, as well as marketing information on products and/or promotions that we may provide to you electronically.

By using Online Statements, you accept and agree to be bound by the general terms and conditions governing Online Statements, including, without limitation, all the terms and conditions in this Agreement. You agree to be bound by any and all laws, rules, regulations and official issuances applicable to Online Statements now existing or which may hereafter be enacted, issued or enforced, as well as such other terms and conditions governing the use of other facilities, benefits, or services that we may periodically make available to you in connection with Online Statements.

If you enroll in Online Statements, your first periodic account statement generated after enrollment, and all subsequent statements, will only be accessible through our Business Online Banking service. Paper delivery of all such statements, disclosures and accompanying items will discontinue for all account(s) you select during the enrollment process. Your normal statement cut-off date will not change when you enroll in Online Statements.

Receiving Online Statements

If you enroll in Online Statements, we will send you an email notice to your primary email address when your statement becomes available for viewing online. You will be promptly notified in the event your email is returned to us as undeliverable. Your Online Statement will still be available online. You understand that it is your responsibility to keep your primary email address current to ensure proper delivery of our emails.

Your Responsibilities Upon Consent to Receiving Online Statements

You must promptly access and review your Online Statement and any accompanying items and notify us immediately of any error, unauthorized transaction, or any other irregularity. If you allow someone else to access your statement, you are still fully responsible to review the statement for any errors, unauthorized transactions, or any other irregularities. Any applicable time periods, noted in your account terms and conditions, within which it is indicated that you must notify us of any errors on your account statement(s), shall begin on the Online Statement email notification date regardless of when you access and/or review your Online Statement. If you do not immediately report to us any non-receipt of Online Statements or any error, irregularity, discrepancy, claims or unauthorized debits or items, you shall be deemed conclusively to have accepted all matters contained in the Online Statements to be true, accurate and correct in all respects.

Statement Availability

You will be able to review your current and previous year’s Online Statements from the respective Online Statement email notification dates. All Online Statements and disclosures are retained by us for at least seven years. Paper copies of Online Statements or disclosures are available upon request by contacting us. A fee may apply as disclosed in our Business Online Banking Agreement and Disclosure.

Fees

Currently, there is no charge for Online Statements or disclosures. We reserve the right to impose or change fees for Online Statements or disclosures and charge your account(s) for these fees at any time after ten days’ notice.

Withdrawal of Consent/Amendment and Termination

If you agree to receive Online Statements, you may subsequently withdraw your consent at any time. Select the “Reports” tab then “Statements and Documents - Preferences” within WSFS Business Online Banking and change your delivery preference.

If you withdraw your consent we will send your paper statements, disclosures, records and other information to the mailing address we have on file. Withdrawal of your consent to receive Online Statements will be effective only after we have a reasonable period of time to process your request.

We may amend or change this Agreement at any time after ten days’ notice. Your continued acceptance of Online Statements and disclosures after the effective date of such change will constitute your acceptance of and agreement with such amendment(s).

We may terminate this Agreement, immediately refuse or revoke access to Online Statements or disclosures at any time, including but not limited to in the event that we or you terminate any deposit account, without cause or notice or refund of previously charged or accrued fees, as applicable. If we terminate your use of Business Online Banking, your right to receive Online Statements and disclosures will also be terminated. Account statements and disclosures will then be sent in paper by mail. Neither termination nor discontinuation shall affect your liabilities or obligations under this Agreement.

Security

You agree that we shall not be liable if you are unable to gain access to WSFS Business Online Banking from time to time. You understand that some or all of the Online Statement services and/or other online services may not be available at certain times due to maintenance and/or computer, communication, electrical or network failure or any other causes beyond our control.

You agree to protect the confidentiality of your User ID & Password, account and account number. You understand that a Password by itself or together with other account information, may allow unauthorized access to your account.

Even though Online Statements are delivered monthly, it is recommended that you view and/or reconcile your account(s) at least daily in order to try to protect your account(s) from fraudulent activity. You agree to notify us immediately should you suspect fraud on your account(s).

Disclaimer of Warranty and Limitation of Liability

We make no warranty of any kind, express or implied, including any implied warranty of merchantability or fitness for a particular purpose, in connection with the Online Statements provided to you under this Agreement. We do not and cannot warrant that the Online Statement service will operate without error, or that the Online Statement service will be available at all times. Except as specifically provided in this Agreement, or otherwise required by law, you agree that WSFS Bank’s officers, directors, employees, agents or contractors are not liable for any indirect, incidental, special, or consequential damages under or by reason of any services or products provided under this Agreement or by reason of your use of the Online Statement service, including loss of profits, revenue, data or use by you or any third party, whether in an action in contract or tort or based on a warranty or any other legal theory.

Additional Terms and Conditions of your Online Statement Agreement

This Agreement is in addition to the terms and conditions governing your account provided to you at account opening. This Agreement is also in addition to our Business Online Banking Agreement and Disclosure. To the extent that this Agreement is inconsistent with any of the terms and conditions, disclosures and agreements provided to you at account opening or the Business Online Banking Agreement and Disclosure, the terms and conditions of this Agreement shall control with respect to Online Statements. You should review those agreements for any applicable fees, for limitations on the number of transactions you can make, and for other restrictions that might impact your use of an account with Online Statements and Business Online Banking.

Acceptance of Online Statements

With your acceptance available on our Business Online Banking page, you agree to accept periodic account statements and disclosures in an electronic format.

You also agree that you have the necessary equipment and software for accessing, viewing, printing and retaining Online Statements, disclosures and accompanying items.

You agree to notify us promptly if you change your primary email address or if you no longer want to receive Online Statements, disclosures and accompanying items.

You can still enroll at a later time through WSFS Business Online Banking service.
